Terms and Conditions
Last updated October 24, 2026
Last updated: 24 October 2026
These Terms and Conditions ("Terms") are an agreement between HARRELLS BRANDS ("KaamGrid", "we", "us") and the organization or person ("you") that uses the KaamGrid website and project planning service (the "Service"). By creating an account, clicking to accept, or using the Service you agree to these Terms and to our Privacy Policy. If you accept on behalf of an organization, you confirm that you are authorised to bind it, and "you" means that organization. The Service is intended for business and professional use.
Please read Sections 7, 9, 10, 11 and 15 carefully. They require you to check all data you import into or export from KaamGrid, disclaim warranties, limit our liability (including for our own errors), require you to compensate us for certain claims, and set out how disputes are resolved.
1. Accounts
- You must be at least 18 years old and give accurate information when you sign up.
- The person who signs up becomes the organization's first admin. Admins invite and remove people and choose the plan.
- Keep your password safe and turn on two-factor authentication. You are responsible for all activity under your account and your organization's accounts. Tell us at once if you suspect unauthorised use.
2. Plans
Free plan. Up to 3 people, 10 projects, and 5 people or resources per project, with timeline, board, list, calendar and network views, dependencies and milestones, and CSV, Excel and PDF export. No guests.
Team plan. Unlimited people and projects, plus critical path and baselines, workload and leveling, Microsoft Project import and export, and guest access. Team is charged per seat per month for the number of seats you buy (each person who is not a guest uses one; guests are free), billed monthly or yearly at the prices shown on our website when you choose it.
Pro plan. Everything in Team plus every add-on, charged per seat in the same way, when we offer it.
Add-ons. Optional modules (such as Time & Billing or Client Portal) that an admin can buy under Billing, charged per user per month at the prices shown there. On the Free plan a minimum number of add-ons applies, shown when you buy them. Some add-ons are already part of Team.
AI features. Where offered, AI features are optional and limited to the monthly allowance shown in the app, unless your organization adds its own Google Gemini key under Administration. See the Privacy Policy for what is sent to Google.
Launch offers. From time to time we may offer Team free for a set period (a free trial), with further free time (a bonus) once you subscribe by paying your first invoice after the trial. An organization that chooses Team while an offer is running gets the offer once, on the terms shown when it chose Team; later changes to the offer don't affect it. We invoice you when the free trial ends unless an admin moves the organization back to Free before then; there is no automatic charge to a card. The bonus is added to your first paid period before your next invoice. We may end an offer for new sign-ups at any time; this does not affect organizations that already have it.
Pro trial for new accounts. While an offer is running, an organization created at sign-up starts on Pro, free, for the offer's trial period. It is not invoiced unless an admin chooses Team or Pro under Billing › Plan and saves it. When the trial ends without a saved plan, an admin must choose one before anyone in the organization can carry on.
We may change features or prices. Price changes take effect at your next billing period after we give you at least 30 days' notice.
3. Billing and payment
- We issue an invoice at the start of each billing period. Your organization's admins get it by email and under Billing. Invoices are payable by the due date shown on them.
- Prices exclude taxes unless stated. You pay any applicable taxes, including GST.
- Non-payment. If a renewal invoice is still unpaid 20 days after the period it covers starts, your organization moves to the Free plan automatically and its add-ons end. Your data is kept, but people and projects beyond the Free limits are switched off until an admin turns some back on, up to the limits, or chooses a paid plan again. Paying the old invoice later does not switch the paid plan back on by itself.
- Cancelling. An admin can cancel under Billing › Plan at any time. The paid plan stays on until the end of the period already paid for (or any free months), then your organization moves to Free and is not invoiced again.
- Our Payment Policy and Refund and Cancellation Policy form part of these Terms.
Refer a friend. While we run this programme, your organization's admins can share a referral link under Billing. You earn credit only when all of the following happen: a new organization signs up by opening your link, it chooses the Team plan, and it pays its first Team invoice in full. Signing up, using the Free plan, and months that are free under a launch offer earn nothing. The amount is the one shown under Billing › Refer a friend when that invoice is paid; if the invoice is later cancelled or refunded, the credit is removed. Credit is taken off your organization's next KaamGrid invoices before tax, including renewals and extra seats, until it is used up. It is in your billing currency, has no cash value, and cannot be withdrawn, transferred, sold or exchanged; if your organization's billing currency changes or your account ends, unused credit lapses. Referring yourself, your own or a related organization, or duplicate or fake accounts, or using spam to share your link, does not count: we may cancel such referrals and remove the credit, including credit already used, which we may then invoice. We decide in our discretion whether a referral qualifies. We may change the amounts or rules, or end the programme, at any time for referrals not yet paid; credit already earned stays. You can see the names of organizations that signed up through your link and whether each has earned you credit, but not their invoices, payments or other details; they can see that they joined through your organization.
4. Customer Content and Support Access
You retain ownership of the projects, tasks, comments, files and other content or data that you or your authorized users submit, upload or create through KaamGrid ("Your Content").
You grant KaamGrid a limited right to host, store, copy, transmit and otherwise process Your Content only as necessary to provide, operate, maintain, secure and support the Service, including to prevent or investigate misuse, resolve technical issues and comply with applicable law.
Support access. If you contact us for support and our support team needs to access your workspace as you see it ("View as Customer") to investigate or resolve the issue, we will normally request your authorization first. You or an authorized administrator of your organization may approve or decline the request and, where available, specify whether the access is view-only or permits changes.
Each approval applies only to the specific support access request for which it was granted. Approved support access is recorded in your organization's access history. By approving a request, you confirm that you are authorized to grant KaamGrid such access on behalf of your organization.
Authorized support access will end when the support team member ends the support session and, in any event, no later than 60 minutes after access begins, unless you authorize additional access.
Your responsibilities. You are responsible for Your Content, including its accuracy and legality and ensuring that you have all rights, permissions and lawful bases necessary to upload, submit, store and process Your Content through the Service, including any personal data relating to your employees, contractors, clients or other individuals.
5. Acceptable use
You must not:
- break any law, or upload content that is unlawful, defamatory, obscene, or that infringes someone else's rights;
- upload malware or try to break into, overload or disrupt the Service;
- access other customers' data, or probe or scan the Service without our written permission;
- resell the Service, or use it to build a competing product;
- copy, reverse engineer, decompile or disassemble the Service or its software, or try to work out its source code, except to the extent the law allows despite this restriction;
- copy the Service's features, design, text or other content to create a product or service of your own;
- scrape the Service, or access it by robots, scripts or other automated means except through features we provide for that purpose;
- remove or hide any copyright, trademark or other ownership notice in the Service;
- share your sign-in with others, or create accounts by automated means.
We may remove content or suspend accounts that break these rules, as required under the Information Technology Act, 2000 and the rules made under it.
6. Availability and support
We work to keep the Service available and secure but do not promise it will be uninterrupted, timely or error-free. We may carry out maintenance, and will try to give notice of planned downtime. We do not commit to any service levels, response times or uptime unless we agree to them in a separate written agreement signed by us. Support is available through the contact page.
7. Your responsibility to check your data
KaamGrid processes information automatically. It imports and exports files (including Microsoft Project XML, Excel, CSV and PDF), converts data between formats, and calculates schedules, dates, durations, dependencies, critical paths, slack, costs, progress, workload, allocation and other figures from the data you enter. Automated processing can contain errors. Files from other software may use features KaamGrid does not support, and information may be changed, rounded, simplified, re-ordered or left out when it is imported or exported.
You therefore agree that:
- After every import, you will check that the tasks, dates, durations, dependencies, resources, assignments, calendars, costs and all other data in KaamGrid match your source file before you rely on them.
- After every export, you will check the exported file (including Excel, CSV, PDF and Microsoft Project files) for completeness and accuracy before you use it, share it, or send it to anyone else.
- Before relying on any result that KaamGrid shows or produces, such as a date, schedule, critical path, cost, budget, progress percentage, workload or allocation, you will verify it independently. KaamGrid is a planning aid. It does not give professional, engineering, legal, financial, tax or safety advice, and its results are no substitute for your own judgment or that of a qualified professional.
- You will not use the Service as the only basis for any decision where an error could cause death, personal injury, damage to property or the environment, a breach of contract, or financial loss.
- Notifications, reminders and emails may be delayed or not delivered. You will not rely on them alone for any deadline.
- You will keep your own copies of Your Content, for example by exporting it regularly. KaamGrid is not a backup or archiving service, and data can be lost or corrupted.
You accept all responsibility and risk for data you import or export, for the results you use, and for the decisions you make using the Service. To the maximum extent permitted by law, we are not responsible for any loss or damage arising from data that is inaccurate, incomplete, changed or lost, whether the error came from your data, from other software, or from the Service itself, as further set out in Sections 9 and 10.
8. Third-party services and software
The Service relies on third parties, such as hosting, email and network providers, and we are not responsible for their acts, failures or outages. Exported files may be opened in software we do not control, such as Microsoft Project, Microsoft Excel or ProjectLibre; we do not guarantee that any such software will read our files correctly, and we are not affiliated with or endorsed by its makers. Names of third-party products are trademarks of their owners.
9. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND EVERYTHING IT PRODUCES, INCLUDING IMPORTS, EXPORTS, CALCULATIONS, SCHEDULES, REPORTS AND NOTIFICATIONS, ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TITLE AND NON-INFRINGEMENT, AND ANY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT DATA WILL NOT BE LOST OR CORRUPTED, THAT IMPORTED OR EXPORTED FILES WILL BE COMPLETE OR CORRECT, OR THAT ANY CALCULATION OR RESULT WILL BE ACCURATE OR RELIABLE. NO ADVICE OR INFORMATION FROM US OR OUR STAFF CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. IF YOU ARE DISSATISFIED WITH THE SERVICE, YOUR SOLE AND EXCLUSIVE REMEDIES ARE TO STOP USING IT AND THE REMEDY FOR OUR FAULTS IN SECTION 10.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Excluded losses. IN NO EVENT WILL KAAMGRID, ITS AFFILIATES, OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS (THE "KAAMGRID PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, CONTRACTS, ANTICIPATED SAVINGS, GOODWILL OR REPUTATION, LOSS OR CORRUPTION OF DATA, COST OF REPLACEMENT GOODS OR SERVICES, PROJECT DELAYS OR OVERRUNS, PENALTIES OR LIQUIDATED DAMAGES OWED TO OTHERS, OR BUSINESS INTERRUPTION.
- Overall cap. THE KAAMGRID PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE FEES YOU ACTUALLY PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS CAP IS A MAXIMUM, NOT AN AMOUNT WE PAY OUT: YOU WOULD STILL HAVE TO PROVE A LOSS THAT WE CAUSED AND THAT THESE TERMS DO NOT EXCLUDE.
- Your remedy for our faults. If the Service does not work as described because of a fault on our side, including an error in an import, export or calculation, we will, at our choice, fix it within a reasonable time or refund the fees you paid for the period affected (nothing, if you paid nothing). Any such refund counts towards the cap above.
- Our own errors. THESE EXCLUSIONS AND LIMITS APPLY TO EVERY KIND OF CLAIM, INCLUDING NEGLIGENCE AND BREACH OF STATUTORY DUTY, AND TO ERRORS IN THE SERVICE'S SOFTWARE, CALCULATIONS, IMPORTS AND EXPORTS, EVEN IF WE WERE TOLD THE LOSS WAS POSSIBLE OR IT WAS FORESEEABLE, AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT APPLY TO FRAUD, WILFUL MISCONDUCT, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR A DUTY UNDER DATA-PROTECTION LAW THAT THE LAW DOES NOT ALLOW US TO LIMIT.
- Basis of the bargain. These limits are a fundamental part of the agreement between us. Our prices reflect them, and we would not provide the Service without them.
- What we cannot exclude. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, such as liability for fraud. Where the law does not allow a limitation in full, our liability is limited to the smallest amount the law allows.
11. Indemnity
You will defend, indemnify and hold harmless the KaamGrid Parties from and against all claims, demands, proceedings, losses, damages, liabilities, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to:
- Your Content, including any data you import into or export from the Service;
- your use of the Service and of anything it produces, including any decision made or work carried out on the basis of a schedule, figure, report or exported file;
- any claim by your employees, guests, clients, contractors or anyone else you give access to the Service or share its results with;
- your breach of these Terms or of any law; or
- your infringement of anyone else's rights.
This indemnity does not cover a claim to the extent it is caused by our breach of these Terms or our negligence. We may take over the defence of any claim you indemnify us for, at your expense, and you will not settle such a claim without our prior written consent.
12. Ending the agreement
You can stop using the Service at any time. You can delete your own account under Settings › Your data: download your own data there first if you want a copy, because deletion removes your profile, to-do list and sign-in details straight away, while work you did on projects stays with your organization. You can restore a deleted account within 30 days from the sign-in page. An admin can close the whole organization by contacting us; ask us within 30 days of closing if you want an export of the organization's data. After that we delete it as the Privacy Policy describes. We may suspend or end your access if you seriously or repeatedly break these Terms, if your account is unpaid, or if the law requires it. Sections 4, 7 and 9 to 16 survive the end of this agreement.
13. Changes to the Service and these Terms
We may add, change, suspend or remove features of the Service. We may update these Terms. We will post the new version here and tell admins by email or in the app at least 30 days before a material change takes effect. Continuing to use the Service after that means you accept the change; if you do not agree, you must stop using the Service.
14. Events beyond our control
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, government action, power or internet failures, failures or outages of hosting, email or other third-party providers, cyberattacks despite reasonable security measures, and labour disputes.
15. Governing law and disputes
These Terms are governed by the laws of India.
- Talk to us first. Before starting any proceedings, you agree to contact us through the contact page and try in good faith to resolve the dispute for at least 30 days.
- Arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved this way will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by agreement between us or, failing agreement, as provided by that Act. The seat and venue of arbitration is [City], India, and the language is English.
- Courts. Subject to the above, the courts at [City], India have exclusive jurisdiction, including for interim relief.
- Individual claims. To the extent the law allows, disputes will be resolved only on an individual basis and not as a class, collective or representative action.
- Rights the law gives you. Nothing in this section stops you from going to a consumer forum, asking a court for interim relief, or complaining to a regulator such as the Data Protection Board of India, where the law gives you that right.
16. General
- Entire agreement. These Terms, together with the policies they refer to, are the entire agreement between you and us about the Service and replace any earlier agreements, proposals or statements.
- Severability. If any part of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted and the rest of the Terms remain in full effect.
- No waiver. If we do not enforce a right, that is not a waiver of it.
- Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours, for example as part of a merger, acquisition or sale of assets.
- Relationship. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
- Electronic acceptance. You agree that accepting these Terms electronically is as binding as signing them on paper.
17. Grievance Officer and contact
In line with the Information Technology Act, 2000 and the rules made under it, our Grievance Officer is KaamGrid grievance, reachable at contact@kaamgrid.com. We acknowledge complaints within 24 hours and aim to resolve them within 15 days; complaints about personal data are always resolved within 90 days, as the Privacy Policy explains. For anything else, see our contact page.
